Non-Disclosure Agreement Confidential Information The Faciltator Affiliate acknowledges that The Rejuvenation Station, LLC (hereinafter referred to as TRS LLC) has disclosed and will, during the term of this contract, disclose to the Faciltator Affiliate information with respect to the operation of TRS LLC’s business. The Faciltator Affiliate understands and agrees that in the performance of her services hereunder she may obtain knowledge of “other confidential information” as hereinafter defined, relating to the business of TRS LLC. As used herein, “other confidential information” means any information (including, without limitation, any formula, patent, device, plan, method, account procedures, research, marketing plans, technical data or information, software programs, software and systems documentation, process or compilation of information or names which: (i) is, or is designed to be, used in the business of TRS LLC, (ii) is private or confidential in that it is not generally known or available to the public, or (iii) gives TRS LLC an opportunity to obtain an advantage over other competitors who do not know or use it. The Faciltator Affiliate shall not, without the written consent of TRS LLC, either during the term of this contract or thereafter, use or disclose any of such other confidential information outside TRS LLC, publish any article with respect thereto, or except in the performance of her services hereunder, remove from the premises of TRS LLC any such confidential information or any property or material which relates thereto. Covenant Not to Compete TRS LLC’s principal place of business is in Matthews, Mecklenburg County, North Carolina. This office serves Clients of TRS LLC in a number of states throughout the United States and its territories, as well as Canada, Australia and the United Kingdom. TRS LLC has devoted substantial time, resources and effort to establish its reputation and goodwill with its Clients. The Faciltator Affiliate has been informed and acknowledges that TRS LLC will continue to expend, through training and experience provided to Faciltator Affiliate, through the payment of the Faciltator Affiliate and otherwise, substantial resources to develop and maintain goodwill among its existing and potential Clients. The Faciltator Affiliate therefore, agrees and covenants that she will not during the term of this contract, and for a period of two (2) years thereafter, directly or indirectly, for herself or as agent, consultant, owner, partner, stockholder or otherwise of others, call upon or in any manner contact any Client or Clients of TRS LLC for the purpose of soliciting and/or selling to any of such Clients, services or products similar in nature to those offered by TRS LLC, nor accept any Clients of TRS LLC for such purpose or otherwise interfere with any contractual arrangement owned by TRS LLC.
